These Terms & Conditions (“Terms”) govern the purchase and use of ToLiss Gaming products and services provided by ToLiss Simulation Solutions Inc. (“ToLiss,” “we,” “us,” or “our”).
By purchasing, downloading, activating, installing, or using a ToLiss Gaming product, you (“you” or “customer”) agree to these Terms and to the ToLiss Gaming End User License Agreement (“EULA”). If you do not agree to these Terms or the EULA, you must not purchase, activate, install, or use the product.

1. Products and Purchase
ToLiss Gaming products are digital software products intended for private flight simulation and entertainment use with supported versions of X-Plane.
Products are made available through the official ToLiss online store and authorized ToLiss resellers or distribution channels.
The product description, features, supported platforms, and price applicable at the time of purchase will be those presented by ToLiss or the applicable authorized reseller.
ToLiss reserves the right to correct errors in product descriptions, specifications, availability, or pricing. Where appropriate, ToLiss may cancel an affected order and provide any refund required by applicable law.

2. License and Permitted Use
Your purchase of a ToLiss Gaming product does not transfer ownership of the software or any intellectual property rights to you.
Your purchase grants you a license to use the product subject to these Terms and the EULA.
ToLiss Gaming products are licensed exclusively for private, non-commercial entertainment use.
Gaming licenses may not be used for:
• commercial or revenue-generating activities;
• professional flight training;
• commercial simulator operations;
• research or development activities conducted for a business or organization;
• commercial presentations or demonstrations;
• systems testing or other professional applications; or
• any other use requiring a ToLiss Professional license.
Professional, commercial, training, research, and simulator applications require an applicable ToLiss Professional license.
A material violation of these Terms or the EULA may result in suspension or termination of the applicable license, without refund, except where a refund or other remedy is required by applicable law.
A ToLiss Gaming license or activation key is valid only if obtained directly from ToLiss or through an authorized ToLiss reseller or distribution channel.
A license or activation key obtained through an unauthorized, fraudulent, illegally operated, or otherwise illegitimate source may be considered invalid and may be suspended or revoked without refund, except where otherwise required by applicable law.

3. Activation, Accounts and License Management
ToLiss Gaming products may require activation through a ToLiss account or other ToLiss activation system.
Activation information, license keys, and account credentials are personal to the customer and must not be shared, distributed, sold, rented, transferred, or otherwise made available to unrelated third parties.
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
Activated licenses and ToLiss accounts may not be sold, transferred, assigned, or resold.
ToLiss may use reasonable technical measures to verify licenses, prevent unauthorized use, detect fraudulent activity, and protect its software and intellectual property.

4. Refunds and Cancellations
ToLiss Gaming products are digital products.
Refunds and cancellations are subject to the applicable store policy and applicable law.
No refunds or exchanges are available once a product has been activated, except where a refund, cancellation, or other remedy is required under applicable law.
Before activation, refund requests may be submitted to the applicable store or ToLiss, as appropriate, and will be handled in accordance with the applicable refund policy and applicable law.
Nothing in these Terms is intended to exclude or limit any mandatory consumer rights or remedies provided by applicable law.

5. Software Updates and Compatibility
ToLiss may provide updates, corrections, improvements, modifications, or new versions of its Gaming products at its discretion.
ToLiss does not guarantee that a product will remain compatible indefinitely with:
• future versions of X-Plane;
• operating systems;
• computer hardware;
• third-party hardware;
• third-party software;
• plugins, modifications, or add-ons;
• online services; or
• other third-party products or technologies.
Changes made by third parties may affect the functionality or compatibility of ToLiss Gaming products.

6. Technical Support
ToLiss provides technical support through its designated support channels.
Support may include assistance with installation, activation, configuration, and operation of supported ToLiss Gaming products.
ToLiss does not guarantee support or compatibility for unsupported third-party hardware, software, modifications, plugins, configurations, or other third-party products.
ToLiss may decline support requests involving unauthorized, modified, illegally obtained, or otherwise illegitimate copies or licenses of its products.

7. Intellectual Property
All intellectual property rights relating to ToLiss Gaming products remain the property of ToLiss Simulation Solutions Inc. or its licensors.
This includes, without limitation:
• software and source code;
• executable code;
• aircraft models;
• systems and systems logic;
• digital artwork;
• textures;
• sounds;
• data;
• documentation;
• manuals;
• interfaces; and
• other content or assets included in or associated with the products.
Except for the limited license expressly granted under the EULA, no ownership or other intellectual property rights are transferred to you.

8. Private Entertainment Use and Disclaimer
ToLiss Gaming products are intended for private flight simulation and entertainment.
They are not certified aviation training devices and are not intended to replace certified training devices, aircraft systems, operational procedures, or professional aviation training.
The software may contain bugs, limitations, inaccuracies, or differences from real-world aircraft systems and operations.
You acknowledge that the software is a simulation product and should not be relied upon for real-world flight operations or safety-critical decisions.

9. Limitation of Liability
To the maximum extent permitted by applicable law, ToLiss and its licensors will not be liable for indirect, incidental, special, consequential, exemplary, or economic damages arising from or relating to the purchase, installation, activation, or use of a ToLiss Gaming product.
To the maximum extent permitted by applicable law, ToLiss's total liability arising from a particular purchase will not exceed the amount actually paid for the applicable product.
Nothing in these Terms excludes, restricts, or limits any liability, right, or remedy that cannot legally be excluded, restricted, or limited under applicable law.

10. Changes to These Terms
ToLiss may update these Terms from time to time to reflect changes to its products, services, business practices, or applicable legal requirements.
The version of these Terms applicable to a purchase will generally be the version in effect at the time of that purchase, unless a change is required by applicable law or otherwise applies to your continued use of the product.

11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict-of-law principles.
Nothing in these Terms limits any rights or remedies that cannot legally be excluded or limited under applicable law.

13. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the remaining provisions will remain in full force and effect.

14. No Waiver
No failure or delay by ToLiss in exercising any right or remedy under these Terms will constitute a waiver of that right or remedy.
A waiver of any provision or breach will be effective only if expressly made by ToLiss and will not constitute a waiver of any subsequent breach.

15. Entire Agreement
These Terms and the ToLiss Gaming End User License Agreement constitute the agreement between you and ToLiss concerning the purchase and use of the applicable ToLiss Gaming product.
If there is a conflict between these Terms and the EULA, the provisions of the EULA will govern matters relating specifically to the license and permitted use of the software, while these Terms will govern matters relating to the purchase and provision of the product.
Any mandatory rights or remedies provided by applicable law remain unaffected.
